Tectra Technologies ("Tectra," "we," "us," or "our") provides software development, web development, mobile app development, UI/UX design, artificial intelligence solutions, blockchain development, digital marketing, search engine optimization (SEO), cloud services, DevOps, and related IT consulting services (together, the "Services").

These Terms of Use ("Terms") govern your access to and use of https://www.tectratechnologies.com (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

These Terms apply to the Site only. Actual project work performed for clients is governed by a separate signed agreement (for example, a Master Services Agreement or Statement of Work). Those engagements are not governed by these Terms.

We know most people don't read legal pages end to end, so we've written these Terms in plain English wherever the law allows, and we've kept formal legal language to the places where precision genuinely matters. If anything here is unclear, contact us — details are in Section 21.

By accessing or using the Site, you confirm that:

• You are at least 18 years old (or the age of majority in your jurisdiction);
• You have the legal capacity to enter into a binding agreement; and
• You agree to be bound by these Terms, and to comply with all applicable laws and regulations.

If you are using the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you as an individual and the entity you represent.

We may update these Terms from time to time (see Section 20). Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

To keep the rest of these Terms readable, here's what a few recurring terms mean:

To use the Site, you must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you confirm that you are authorized to act on its behalf.

By using the Site, you agree not to use it in any way that violates applicable law, including export control laws, data protection regulations, or any other legal requirements of your jurisdiction.

If we provide the ability to create an account or register on the Site, you agree to:

• Provide accurate, current, and complete information when creating an account;
• Keep your login credentials confidential and not share them with anyone else;
• Promptly update your account information if it changes; and
• Notify us immediately at info@tectratechnologies.com if you suspect unauthorized use of your account.

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that we reasonably believe are being used improperly, as described in Section 16.

You agree to use the Site in a lawful manner and not to:

• Attempt to gain unauthorized access to the Site, our systems, or other users' accounts;
• Introduce any malicious software, viruses, or harmful code;
• Use automated tools (such as scrapers or bots) to access, copy, or monitor the Site without our written permission;
• Interfere with or disrupt the operation of the Site or its servers;
• Use the Site to send spam, phishing messages, or other unsolicited communications;
• Impersonate any person or entity or misrepresent your affiliation with anyone; and
• Use the Site to engage in any activity that violates applicable law.

You must not use the Site to:

• Violate any applicable law, regulation, or legal process;
• Infringe the intellectual property, privacy, or other rights of any third party;
• Post, upload, or transmit content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;
• Probe, scan, or test the vulnerability of the Site or bypass any security measures;
• Reverse engineer, decompile, or disassemble any portion of the Site;
• Collect or harvest personal information about other users without their consent; and
• Create derivative works of the Site's content without our written permission.

The Site and all of its Content, including text, graphics, logos, design, code, and software, are owned by Tectra or its licensors and are protected by copyright, trademark, and other intellectual property laws. All rights are reserved.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any portion of the Site or Content without our prior written consent, except where permitted by applicable law (for example, downloading a copy for your own reasonable personal reference).

Nothing in these Terms grants you any right, title, or interest in the Site or Content, except the limited permission to use the Site in accordance with these Terms. If you wish to use our content for any purpose other than personal reference, contact us using the details in Section 21.

The Site describes the Services we provide, which may include:

• Software and web development;
• Mobile app development;
• UI/UX design;
• Artificial intelligence (AI) and machine learning solutions;
• Blockchain and Web3 development;
• Digital marketing and SEO;
• Cloud services and DevOps; and
• Related IT consulting and support.

We may update, modify, or discontinue any part of the Services or the Site at any time, with or without notice. Descriptions, pricing, and availability of Services on the Site are provided for informational purposes only and do not constitute a binding offer. You must enter into a separate signed agreement with us to engage our Services.

Where pricing is shown on the Site, it is provided for general information only and may change at any time without notice. Final pricing for Services is agreed in writing in the applicable statement of work, proposal, or agreement.

We will also specify in the relevant agreement:

• The payment schedule (for example, milestone-based or hourly);
• Any applicable taxes, fees, or expenses;
• Payment method and invoicing details; and
• The consequences of late payment.

Where payments are collected through the Site (for example, for a subscription), you agree to pay all amounts due in accordance with the terms presented at the time of purchase. All amounts are non-refundable except as described in Section 11.

Except where expressly stated otherwise in a signed agreement, all payments are non-refundable, and no refunds are provided for work that has been performed or partially performed.

If you believe a charge was made in error, contact us within 14 days of the charge at info@tectratechnologies.com, and we will investigate and, if appropriate, issue a credit or refund.

Any refund that is approved will be processed using the original payment method, within a reasonable period after approval.

The Site may reference, link to, or integrate with third-party products, services, or websites (for example, analytics tools, payment processors, or hosting providers). We do not control those third-party services and are not responsible for their content, availability, or practices.

Your use of any third-party service is subject to that service's own terms and privacy policy. We recommend that you review those terms before using a third-party service.

References to third-party products or services on the Site do not constitute an endorsement, and we are not liable for any loss or damage arising from your use of third-party services.

To the maximum extent permitted by applicable law, in no event shall Tectra, its officers, directors, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Site or these Terms.

To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or in connection with the Site or these Terms shall not exceed the amount you paid us, if any, in connection with the Site during the 12 months preceding the claim.

The limitations in this Section 13 apply whether the claim is based on contract, tort (including negligence), strict liability, or any other theory of liability, and regardless of whether we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage in trade.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components, or that the results obtained from using the Site will be accurate or reliable.

No advice or information obtained from the Site shall create any warranty not expressly stated in these Terms.

You agree to indemnify, defend, and hold harmless Tectra, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Site;
• Your violation of these Terms; or
• Your violation of any rights of a third party, including intellectual property or privacy rights.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

We may, at our sole discretion, suspend, terminate, or restrict your access to all or part of the Site at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms or applicable law.

You may stop using the Site at any time. Provisions of these Terms that by their nature should survive termination (including Sections 8, 13, 14, 15, 18, and 21) will survive any termination of your access to the Site.

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of Chennai, Tamil Nadu, India, without regard to its conflict of laws principles.

Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the courts located in Chennai, Tamil Nadu, India.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

We encourage you to contact us first if you have any dispute, claim, or disagreement arising out of or in connection with these Terms or the Site. We will work in good faith to resolve the matter informally. Most issues can be resolved this way.

If the dispute is not resolved within 30 days of your initial contact, the dispute shall be resolved by binding arbitration under the Arbitration and Conciliation framework under Indian law. The place of arbitration shall be Chennai, Tamil Nadu, India.

Either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information, without first submitting to the dispute resolution process described above.

You agree that any dispute resolution proceeding will be conducted on an individual basis and not as a class, consolidated, or representative action.

Neither party shall be liable for any failure or delay in performance under these Terms due to events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, natural disasters, pandemics, government orders, labor disputes, utility or internet failures, or other circumstances that could not have been reasonably foreseen or mitigated.

This Section 19 does not apply to payment obligations.

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or the Services we offer. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page; and
• Where changes are significant, provide a more prominent notice on the Site (for example, a banner) before the change takes effect.

We encourage you to review these Terms periodically. Continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
